Disputes, Governing Law, Jurisdiction and Venue:

Our headquarters are located in Los Angeles, CA, USA.  You agree that: (i) any and all disputes, claims and causes of action arising out of or connected with this Terms of Use and/or Site Policies shall be resolved individually, without resort to any form of class action; (ii) any and all disputes, claims and causes of action arising out of or connected with this Terms of Use and/or Site Policies, shall be shall be resolved by submission to a final and binding arbitration to be held in Los Angeles County, California before a single arbitrator in accordance with California Code of Civil Procedure §§ 1280 et seq.  For purposes of venue the parties agree that the arbitration shall take place in Los Angeles, California.  The arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree, then by striking from a list of arbitrators supplied by the American Arbitration Association or JAMS/Endispute.  The arbitration shall be a confidential proceeding, closed to the general public and will use and implement the Federal Rules of Evidence with respect to the entire arbitration process .  The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrator’s award is based.  The parties will share equally in payment of the arbitrator’s fees and arbitration expenses and any other costs unique to the arbitration hearing (recognizing that each side bears its own deposition, witness, expert and attorneys’ fees and other expenses to the same extent as if the matter were being heard in court); (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with using the Terms of Use and/or Site Policies, but in no event attorneys' fees; and (iv) under no circumstances will You be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental and consequential damages and any other damages whatsoever other than for actual out-of-pocket expenses and any and all rights to have damages multiplied or otherwise increased.
